TIMES MIRROR TO SELL HEALTH SUBSIDIARY

Times Mirror, Los Angeles, announced it will sell The StayWell Co., a provider
of health information to consumers and businesses, to Havas MediMedia, a medical
publisher with over 2,000 employees worldwide. The San Bruno, Calif.-based
StayWell Co. has 420 employees.

Times Mirror Chairman Mark H. Willes said in a statement that 'StayWell must be
part of a substantial publisher of consumer healthcare information to compete more
effectively in the future.'

Havas MediMedia's U.S. operations are based in Teterboro, N.J. Salomon Smith Barney
acted as financial adviser for the transaction.
